What Is a Settlement Agreement?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>A settlement agreement is a legally binding contract between an employer and an employee, worker or, in some circumstances, another person with potential employment claims.<\/p>\n<p>Parties often use settlement agreements to resolve an existing dispute or to bring an employment relationship to an end on agreed terms.<\/p>\n<p>The agreement will usually provide something of value to the employee, often a financial payment, in exchange for the employee agreeing not to pursue specified legal claims.<\/p>\n<p>Settlement agreements were previously known as compromise agreements.<\/p>\n<p>Importantly, both sides enter into them voluntarily.<\/p>\n<p>An employer cannot force an employee to sign one, and an employee does not have to accept the first offer made.<\/p>\n<p>The parties can negotiate.<\/p>\n<p>The <a href=\"https:\/\/www.acas.org.uk\/settlement-agreements\">Acas guidance on settlement agreements<\/a> confirms that settlement agreements can include financial payments, references, confidentiality provisions and agreements not to pursue specified tribunal or court claims.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"2_Why_Do_Employers_Use_Settlement_Agreements\"><\/span>2. Why Do Employers Use Settlement Agreements?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Employers may propose a settlement agreement for many different reasons.<\/p>\n<p>For example, an employer may want to:<\/p>\n<ul>\n<li>resolve an existing workplace dispute;<\/li>\n<li>avoid lengthy disciplinary or performance procedures;<\/li>\n<li>manage a redundancy or restructuring;<\/li>\n<li>settle a grievance;<\/li>\n<li>resolve threatened Employment Tribunal proceedings;<\/li>\n<li>agree an employee&#8217;s departure on confidential terms; or<\/li>\n<li>create certainty about potential legal claims.<\/li>\n<\/ul>\n<p>A settlement agreement can allow both sides to control the outcome rather than leave the dispute to a tribunal or court.<\/p>\n<p>But employers should not treat it as a shortcut around proper employment procedures.<\/p>\n<p>A poorly handled proposal may create further problems rather than solve them.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"3_Why_Might_an_Employee_Accept_a_Settlement_Agreement\"><\/span>3. Why Might an Employee Accept a Settlement Agreement?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>An employee may prefer a negotiated exit rather than remain in a difficult employment relationship or pursue lengthy proceedings.<\/p>\n<p>A settlement package may offer:<\/p>\n<ul>\n<li>compensation;<\/li>\n<li>notice pay;<\/li>\n<li>accrued holiday pay;<\/li>\n<li>an agreed reference;<\/li>\n<li>an agreed termination date;<\/li>\n<li>payment of bonuses or commission;<\/li>\n<li>treatment of shares or other benefits;<\/li>\n<li>confidentiality arrangements;<\/li>\n<li>changes to restrictive covenants; and<\/li>\n<li>a contribution towards legal fees.<\/li>\n<\/ul>\n<p>The value of an agreement therefore extends beyond the headline compensation figure.<\/p>\n<p>For some employees, an agreed reference or release from a restrictive covenant may prove almost as important as the payment itself.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"4_When_Is_a_Settlement_Agreement_Legally_Valid\"><\/span>4. When Is a Settlement Agreement Legally Valid?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Employment law places specific conditions on settlement agreements because the employee gives up statutory rights.<\/p>\n<p>The agreement must, among other things:<\/p>\n<ul>\n<li>be in writing;<\/li>\n<li>relate to particular complaints or proceedings;<\/li>\n<li>identify the relevant independent adviser;<\/li>\n<li>confirm that the adviser has appropriate insurance; and<\/li>\n<li>state that the applicable statutory conditions have been satisfied.<\/li>\n<\/ul>\n<p>The employee must also receive independent advice about the terms and effect of the agreement and its effect on the employee&#8217;s ability to pursue the relevant claims.<\/p>\n<p>Simply writing that an agreement settles <strong>\u201call claims\u201d<\/strong> does not automatically make it effective for every statutory claim. The agreement should identify the particular claims that the parties intend to settle. Acas expressly highlights this requirement.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"5_Why_Does_the_Employee_Need_Independent_Legal_Advice\"><\/span>5. Why Does the Employee Need Independent Legal Advice?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Independent advice sits at the heart of the settlement agreement process.<\/p>\n<p>The employee must understand what legal rights the agreement will waive.<\/p>\n<p>The adviser will normally consider:<\/p>\n<ul>\n<li>the circumstances leading to the proposed termination;<\/li>\n<li>potential claims;<\/li>\n<li>the contractual payments already due;<\/li>\n<li>the compensation offered;<\/li>\n<li>the wording of the waiver;<\/li>\n<li>confidentiality provisions;<\/li>\n<li>restrictive covenants;<\/li>\n<li>references;<\/li>\n<li>tax provisions; and<\/li>\n<li>any continuing obligations after termination.<\/li>\n<\/ul>\n<p>The adviser should not simply explain where to sign.<\/p>\n<p>The real task is to identify what the employee gives up and whether the document accurately reflects the negotiated deal.<\/p>\n<p>Acas confirms that the independent adviser must not act for or be connected with the employer. A qualified lawyer can provide the required advice.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"6_How_Much_Should_an_Employer_Offer\"><\/span>6. How Much Should an Employer Offer?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>There is no standard settlement figure.<\/p>\n<p>The appropriate amount depends on the circumstances.<\/p>\n<p>Relevant factors may include:<\/p>\n<ul>\n<li>salary;<\/li>\n<li>length of service;<\/li>\n<li>contractual notice;<\/li>\n<li>potential Employment Tribunal claims;<\/li>\n<li>the strength of those claims;<\/li>\n<li>likely compensation if a claim succeeds;<\/li>\n<li>how quickly the employee may find another job;<\/li>\n<li>unpaid bonus or commission;<\/li>\n<li>accrued holiday;<\/li>\n<li>benefits;<\/li>\n<li>legal costs;<\/li>\n<li>litigation risk; and<\/li>\n<li>the commercial value of resolving the dispute quickly.<\/li>\n<\/ul>\n<p>An employee should distinguish between money the employer already owes under the employment contract and genuine compensation for settling potential claims.<\/p>\n<p>For example, salary, accrued holiday and notice payments may already be due irrespective of the settlement.<\/p>\n<p>The settlement payment should therefore be examined separately rather than treated as one large headline number.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"7_Can_You_Negotiate_a_Settlement_Agreement\"><\/span>7. Can You Negotiate a Settlement Agreement?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Yes.<\/p>\n<p>Settlement agreements are negotiable.<\/p>\n<p>An employee can reject the offer, accept it or make a counter-offer.<\/p>\n<p>Negotiations may address much more than compensation.<\/p>\n<p>For example, an employee may negotiate:<\/p>\n<ul>\n<li>a higher settlement payment;<\/li>\n<li>a different termination date;<\/li>\n<li>an improved reference;<\/li>\n<li>payment of outstanding commission;<\/li>\n<li>treatment of bonus payments;<\/li>\n<li>continued private medical insurance;<\/li>\n<li>retention of company equipment;<\/li>\n<li>changes to post-termination restrictions;<\/li>\n<li>an agreed internal or external announcement; or<\/li>\n<li>an increased contribution towards legal fees.<\/li>\n<\/ul>\n<p>An employer should also consider what it needs from the agreement.<\/p>\n<p>That may include certainty, confidentiality, return of property, protection of confidential information and an effective waiver of identified claims.<\/p>\n<p><strong>A good negotiation therefore focuses on the whole package, not one number.<\/strong><\/p>\n<h3><span class=\"ez-toc-section\" id=\"8_How_Long_Should_You_Have_to_Consider_a_Settlement_Agreement\"><\/span>8. How Long Should You Have to Consider a Settlement Agreement?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Employees should have a reasonable opportunity to consider a settlement agreement and obtain independent advice.<\/p>\n<p>The Acas Code recommends, as a general rule, allowing at least <strong>10 calendar days<\/strong> to consider formal written terms and receive independent advice, unless the parties agree otherwise.<\/p>\n<p>That does not create an automatic 10-day legal deadline in every case.<\/p>\n<p>The circumstances matter.<\/p>\n<p>However, placing unreasonable pressure on an employee to sign immediately can create problems, particularly if the employer&#8217;s conduct amounts to improper behaviour.<\/p>\n<p>An employee who receives an agreement with an extremely short deadline should obtain advice quickly rather than assume that the proposed deadline determines their legal position.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"9_Are_Settlement_Agreement_Discussions_Confidential\"><\/span>9. Are Settlement Agreement Discussions Confidential?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Often, but not automatically in every situation.<\/p>\n<p>People frequently describe settlement discussions as <strong>\u201coff the record\u201d<\/strong>, but that phrase has no magic legal effect.<\/p>\n<p>Two different legal principles may become relevant.<\/p>\n<p>The <strong>without prejudice<\/strong> rule may protect genuine settlement negotiations where an existing dispute already exists.<\/p>\n<p>Section 111A of the Employment Rights Act 1996 can also protect certain pre-termination negotiations from use in ordinary unfair dismissal proceedings.<\/p>\n<p>However, section 111A does not create blanket confidentiality for every employment claim.<\/p>\n<p>Different considerations can arise in discrimination, automatically unfair dismissal, whistleblowing and other claims.<\/p>\n<p>Protection may also fall away, at least in part, where improper behaviour occurs.<\/p>\n<p>The <a href=\"https:\/\/www.acas.org.uk\/acas-code-of-practice-settlement-agreements\/html\">Acas Code of Practice<\/a> gives guidance on settlement negotiations and improper behaviour.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"10_What_Should_You_Check_in_the_Payment_Provisions\"><\/span>10. What Should You Check in the Payment Provisions?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The payment section deserves careful attention.<\/p>\n<p>The agreement should clearly distinguish between different categories of payment.<\/p>\n<p>These may include:<\/p>\n<ul>\n<li>salary up to termination;<\/li>\n<li>payment in lieu of notice;<\/li>\n<li>accrued but untaken holiday;<\/li>\n<li>bonus or commission;<\/li>\n<li>benefits;<\/li>\n<li>redundancy payment, where applicable;<\/li>\n<li>settlement compensation; and<\/li>\n<li>legal costs.<\/li>\n<\/ul>\n<p>The agreement should also state when the employer must make the payment.<\/p>\n<p>Employees should avoid focusing solely on whether the document describes part of a payment as tax-free.<\/p>\n<p>Tax treatment depends on the nature of the payment and applicable tax law.<\/p>\n<p>The agreement will often contain a tax indemnity allocating risk if HMRC later concludes that additional tax or National Insurance falls due.<\/p>\n<p>The wording of that indemnity should therefore receive proper consideration.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"11_The_Reference_Can_Matter_More_Than_Expected\"><\/span>11. The Reference Can Matter More Than Expected<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Employees often concentrate on money and leave the reference until the final stage.<\/p>\n<p>That can be a mistake.<\/p>\n<p>An agreed reference may directly affect the employee&#8217;s next job.<\/p>\n<p>Where the employer agrees to provide a reference, the parties can attach the agreed wording to the settlement agreement.<\/p>\n<p>That provides greater certainty than a vague promise to provide a \u201cstandard reference\u201d.<\/p>\n<p>The parties may also agree how the employer will respond to verbal enquiries and how it will describe the employee&#8217;s departure.<\/p>\n<p>If the employee&#8217;s future career matters to the negotiation, the reference should form part of the settlement discussion from the outset.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"12_Confidentiality_Clauses_Need_Careful_Reading\"><\/span>12. Confidentiality Clauses Need Careful Reading<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Settlement agreements frequently contain confidentiality clauses.<\/p>\n<p>These provisions may regulate:<\/p>\n<ul>\n<li>the existence of the agreement;<\/li>\n<li>its terms;<\/li>\n<li>the circumstances surrounding termination;<\/li>\n<li>confidential business information; and<\/li>\n<li>statements about the employer, employee or colleagues.<\/li>\n<\/ul>\n<p>Employees should understand exactly what they can and cannot say.<\/p>\n<p>Employers should avoid drafting restrictions more broadly than necessary.<\/p>\n<p>A confidentiality clause should also account for disclosures that the law permits or protects.<\/p>\n<p>The fact that an agreement contains a confidentiality clause does not necessarily mean that it can lawfully prevent every type of disclosure.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"13_What_About_Restrictive_Covenants\"><\/span>13. What About Restrictive Covenants?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>An existing employment contract may already restrict what an employee can do after leaving.<\/p>\n<p>For example, it may contain clauses dealing with:<\/p>\n<ul>\n<li>competition;<\/li>\n<li>solicitation of clients;<\/li>\n<li>dealing with clients;<\/li>\n<li>recruitment of colleagues; or<\/li>\n<li>use of confidential information.<\/li>\n<\/ul>\n<p>A settlement agreement may preserve, amend or replace those restrictions.<\/p>\n<p>This can become a significant negotiation point.<\/p>\n<p>An employee may accept the financial package but later discover that the agreement continues restrictions that make the next career move difficult.<\/p>\n<p>Employers, on the other hand, may place considerable value on protecting legitimate business interests after departure.<\/p>\n<p>Both sides should therefore identify exactly which restrictions continue after termination.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"14_What_Claims_Does_the_Employee_Give_Up\"><\/span>14. What Claims Does the Employee Give Up?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>This is one of the most important parts of the agreement.<\/p>\n<p>The employer usually wants the employee to waive specified claims arising from the employment relationship and its termination.<\/p>\n<p>Those claims might include, depending on the circumstances:<\/p>\n<ul>\n<li>unfair dismissal;<\/li>\n<li>breach of contract;<\/li>\n<li>unlawful deductions from wages;<\/li>\n<li>discrimination;<\/li>\n<li>harassment;<\/li>\n<li>victimisation;<\/li>\n<li>holiday pay claims;<\/li>\n<li>redundancy-related claims; and<\/li>\n<li>other statutory or contractual claims.<\/li>\n<\/ul>\n<p>The agreement should identify the relevant claims rather than rely only on general wording.<\/p>\n<p>The employee&#8217;s adviser should compare the waiver against the actual circumstances of the employment relationship.<\/p>\n<p>That allows the employee to understand what rights will disappear once the agreement takes effect.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"15_What_Happens_If_Someone_Breaches_the_Settlement_Agreement\"><\/span>15. What Happens If Someone Breaches the Settlement Agreement?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>A settlement agreement creates contractual obligations.<\/p>\n<p>If the employer fails to pay the agreed sum, or if either party breaches another enforceable term, the other party may have contractual remedies.<\/p>\n<p>Acas confirms that breach of a settlement agreement can give rise to a breach of contract claim. In England and Wales, a party may in appropriate circumstances bring such a claim in the County Court.<\/p>\n<p>The agreement itself should therefore deal clearly with payment deadlines, confidentiality, property, continuing obligations and the consequences of breach.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"16_Should_an_Employer_Pay_the_Employees_Legal_Fees\"><\/span>16. Should an Employer Pay the Employee&#8217;s Legal Fees?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Employers commonly offer a contribution towards the employee&#8217;s cost of obtaining independent advice.<\/p>\n<p>The law does not generally require the employer to make that contribution.<\/p>\n<p>However, the employee needs independent advice before the agreement can satisfy the statutory conditions for waiving relevant claims.<\/p>\n<p>A contribution can therefore help both parties complete the process efficiently.<\/p>\n<p>Acas specifically notes that employers should consider contributing to the cost of independent advice, although they do not have to do so.<\/p>\n<p>The employee should check whether the proposed contribution covers the solicitor&#8217;s fee and whether additional negotiation would create extra costs.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"17_When_Should_You_Speak_to_a_Settlement_Agreement_Solicitor\"><\/span>17. When Should You Speak to a Settlement Agreement Solicitor?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>As early as possible.<\/p>\n<p>Employees should ideally obtain advice before accepting a figure or agreeing important terms.<\/p>\n<p>Employers may benefit from legal advice before making the proposal, particularly where potential discrimination, whistleblowing, dismissal or procedural issues exist.<\/p>\n<p>Seek advice promptly where:<\/p>\n<ul>\n<li>you have received a settlement agreement;<\/li>\n<li>your employer has invited you to a protected conversation;<\/li>\n<li>you believe the proposed compensation is too low;<\/li>\n<li>the circumstances may involve discrimination or whistleblowing;<\/li>\n<li>a grievance or disciplinary procedure has already started;<\/li>\n<li>Employment Tribunal proceedings are contemplated or underway;<\/li>\n<li>restrictive covenants affect your next role; or<\/li>\n<li>you want to negotiate the terms of your departure.<\/li>\n<\/ul>\n<p><strong>The earlier you understand the legal position, the more effectively you can negotiate the commercial outcome.<\/strong><\/p>\n<h3><span class=\"ez-toc-section\" id=\"18_How_LawLex_Solicitors_Can_Help\"><\/span>18. Before You Sign<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>A settlement agreement may bring a difficult employment relationship to an end in a controlled and commercially sensible way.<\/p>\n<p>But once the employee signs a valid agreement, the employee will normally lose the right to pursue the claims that the agreement settles.<\/p>\n<p>Before signing, ask three questions:<\/p>\n<p><strong>What am I receiving?<\/strong><\/p>\n<p><strong>What rights am I giving up?<\/strong><\/p>\n<p><strong>Does the agreement deal properly with what happens next?<\/strong><\/p>\n<p>If the answers are not clear, obtain advice before committing yourself.<\/p>\n<div style=\"\nmargin:24px 0
